What I have is two static shots of a room. One in color, one B&W. They're the exact same shot but the B&W one has a woman sitting in the corner and the color one has two people running out of frame.

I want to have only the color-running people, and a little of the frame around them fade in, then out as they run out of frame.

Would this just be a simple, feathered mask keyframed and having the B&W shot on top?

I'd put the color layer on top. And although you intend to keep a little color space around the running people, it will still be a pretty tricky masking job to make it look just right.
