Confused on 720x480 and 640x480

I am putting together short bits that are shot in DV, edited in DV but distributed via YouTube,iTunes,Brightcove, etc. All require 320x240 (half of 640x480) sizing. Should I use compressor (using h.264 codec) to scale down to 320x240? Does this distort. Do I need to convert to square pixels for internet distribution? AHHHHHH, my head hurts.

Yes, if your source is 4:3 (no matter the pixel count) you want to deliver as 4:3 square pixel for transcoding from 320x240.

The simplest thing to do is forget you know how many pixels are in the source - just make sure your source aspect ratio matches your output aspect ratio.

So in a 720x480 (DV NTSC) project it will distort, no?

It'll be corrected on the screen, so you shouldn't have a problem.
