got it.

made a sound object of my FLVplayback

var videoSound:Sound = new Sound(myVideo);
videoSound.setVolume(0);

then i created a fade in function

var id:Number;
function fadeInSound():Void {

if (id) {
clearInterval(id);
}
var myVolume = videoSound.getVolume();
id = setInterval(fadeIn, 10);
function fadeIn():Void {
videoSound.setVolume(myVolume++);
if (myVolume>=100) {
clearInterval(id);
}
}
trace(videoSound);
}

then i just triggered the funtion when the FLV starts playing

videoListener.playing = function() {
fadeInSound();
};

I love it when a plan comes together
