guys...can you teach me how to make fading FX under two clips?

here is a sample video

there are alot of fading FX in there under two clips...

If you mean the titles, they go on the top track and all video on lower tracks.

If you are talking about how the clips fade in and out on top of each other that is done with a Composite Envelope. Right-click the video track in an empty area and select Insert/Remove Envelope | Composite Level and a Composite Envelope line will appear on the top of the track at 100%. Then just add keyframes by double-clicking on the line and pull them down to adjust the composite levels over time.
