Error in encoder initialization. Code-1

I am transcoding a QT movie (encoded in Sorenson Video, QDesign 2) to .flv.
I am outputting to the following:
_855 kbps
_639 kbps
_500 kbps
_329 kpbs
_256 kpbs
_128 kpbs
_040 kpbs

All of the above work, ACCEPT 329kbps. I get the following error:
Error in encoder initialization. Code-1

What does the above mean? I suspect audio, but I am not sure.
Here are my audio settings:
Lame MP3.
Bitrate based
Bit Rate: 32Kbit/s
Advanced settings:
CBR
MS Stereo
Sample Rate 44110 Hz.

It was not the audio. Audio is fine.
It was my Peak Rate:
BEFORE the change: 297 kbit/s
AFTER the change: 290 kbit/s

Average rate: 275 kbits/s

My remaining question is, why?

I'll see if I can find out for you.
If you can give me your complete source settings I can create an equivalent file on my system. Also give me the exact settings for your encode and I'll see if I can duplicate.

I'm thinking that VBV might come in to play in this and your setting combination was not viable.
