You need to convert the MPG2 to something that can be read by something like FCP or AfterEffects. The lower the compression the better. Both FCP and AfterEffects do pretty good job on NTSC to PAL conversion or vice versa.

There's no way to do the conversion without loss since it involves both re-timing and scaling. Starting off with MPG2 is pretty bad but it's not hopeless.
