Offline capture of 24p

I'm was trying to sift through the previous posts, but I couldn't find anything specifically to my question. Shot about 10 hours of video on an XL2 using 24p. What happens when I capture it (offline NTSC - 320x240) with a 29.97 frame rate? Is it going to mess up when I recapture at 720x480? What settings should I have used?
