They're the same program, only Avid FX has been cosmetically changed (as previously mentioned), with a few subtle color changes and a name change. Plus, while you can use it as a plugin inside of Avid's mainstream NLE's, as well as in stand-alone mode, you CAN'T use it as a plugin inside of the other NLE hosts supported by Red. It's also dongle-locked (which I don't think Red is). I don't know if it still is, but for quite a while, it was cheaper to buy the Studio Toolkit from Avid (getting Avid FX, 3D, and DVD) for about $300 less than Red cost by itself.
