H.264 is good for distribution to clients and CRAPPY for mastering. It is a highly compressed codec that you really dont want to be the master that you make copies from . DNxHD is a more refined (and larger) codec that is suited for making your master copy. Just think for h.264 as VHS and DNxHD as One inch videotape (must be over 35 to understand this reference) :D
