Importing H.264 HD encoded files?!

I'm in dire need of some assistance here. I'm running CS3 and trying to import these video files that I recorded on a Samsung HVX-H100. The files are encoded in the H.264 HD format. The files play fine on the camera, but when transferred to my computer they become dysfunctional and only the audio "works". I'm on a deadline and need these videos edited by Wednesday, but I cannot play them let alone import them to Premiere.
I've tried playing them in several different apps, Windows Media Player, VLC and Quicktime. Quicktime works the best, but the videos are still quite jittery. In VLC, the files play the first couple of frames and get stuck. I was able to convert a couple of the files, but I need all of them to work. I converted some to avi format and have been successful in importing them into Premiere. These files have a bit rate of around the 11k range. The ones that I was not able to convert were of the 17k bit rate range. I've tried everything I can think of...downloading the right codec, updating my direct x,...
The files were recorded in High definition 720p under the 'Fine' quality some with a bit rate in the 11k range and some (the ones unable to be converted) in the 17k range. They are encoded in MP4-AVC / H.264 HD.
My computer is an HP Pavilion laptop with dual core 2.2 ghz processor, 3g ram and running an ATI HD Radeon 3200 graphics card. The camera came with some crappy software to upload the files which I used (intelli-studio), but I also tried uploading the files straight off the flash memory card, but no luck in either direction.
If anyone could help me I will be so grateful. I'm panicking quite a bit because I need to have these done by this week.
I either need to figure out why these files aren't working or find some program that will successfully convert these files to another format of equal quality. Any assistance is greatly appreciated, thank you.
