Whether you choose to work on an HD timeline (23.976) or SD (29.97), in which case HD will probably get you better results, you' ll have to convert one the framerates first.

You'll probably need AE, and you can get some good help at http://www.videocopilot.net/tutorials.html?id=41 where Andrew did a good plugin for that purpose.
