I guess I still think there are workflow problems. Why can't I just overlap two clips and have my default transition be placed between them? It's such a pain and really slows things down. Also, it would be nice if I could still edit while the timeline is playing back. That way I can better adjust audio, or edit down in the line while the playhead is still moving. Anytime I click anywhere the timeline stops. Is this still true in CS3? I'm assuming so. I wouldn't say this is a "huge" upgrade, but I'm sure I'll be making the move. I still need to hold on to Sony Vegas and SpeedEdit though to accomplish other tasks, etc.
That's my $.02
