I'd suggest to transcode with REDrushes or Clipfinder with only 1/4 decode and a light codec like DVCProHD, that's much faster than 1/2 transcod to ProRes.
After offlining, you can always re-conform with Clipfinder (free) to your original files for Color or do a high-quality transcode for onlining.
An alternative would be CS4, the latest version works pretty well even on a laptop.
