Other than checkerboard background in the key window and the spash screen when launching, I know of no other differences. Ultra 2 was made by Serious Magic before Adobe bought them out. I don't see any reason to upgrade. If you have Ultra 2, consider your self lucky as you cannot get it now without purchacing the whole suite. I suspect Adobe will incorperate it into After Effects someday,,, I hope. Danny Hays
