Hi Bryan,
Don't worry about your podcast being listed in iTunes. No podcasts are automatically added to iTunes. You need to actually submit a feed to iTunes for it to become listed.
So, you can keep your podcast private by just sending employees/associates the address for your feed in an email/newsletter, or by putting a clickable link somewhere on a website behind a login.
Unless your employees are pretty tech savvy, I wouldn't password protect the actual feed. That could cause a lot of simple--yet time consuming--tech support calls.
You can still use itunes to subscribe to the podcast even if the podcast is not listed in the iTunes directory. In fact, to simplify things you can change the clickable URL of your feed address on a webpage to itpc:// instead of htpp://
Clicking on that feed will automatically launch iTunes (if already installed on their computer) and subscribe the person to the show. Easy.
