Time not matching AE CS.5 & Media Player

Ok, so i have about a 7 minute clip.
1080 59.94p mts file type. AVC HD 32 bit
So i'm watching it media player for the clips i want to take out.
The points are getting further and further the farther i get in the clip.
so there's a descrepency in the way one of them players.
It's small, (i assume something to the 59.94 vs 60 frames) but after 5 mins it's getting noticable and annoying to find 2 times.
I was looking at 5:37 (about 1/2 a second through) in media player.
to match up in AE pretty close the time code is 5:39;53
so seeking and cutting and triming the time is not "hard" it's 2+ seconds off by this point.
