The two major items in the NTSC->PAL conversion are the dimensions and the frame rate. NTSC is 720x480, PAL is 720x576. So the conversion will have to produce 96 extra lines via interpolation.

For the frame rate conversion 29.97fps have to be squeezed into 25fps. Especially that part is something that ProCoder does better than AE. For AE this kind of conversion is more of a by-product of its other capabilities - for ProCoder it is one of its main selling points.
